Vidy Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by SILICONWORLD PTE. LTD, a company incorporated in Singapore ("Vidy", "we", "us", or "our") (the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility and Acceptance

  1. Eligibility. You must be at least eighteen (18) years of age and have full legal capacity to enter into a binding agreement to access or use the Services. By accessing or using the Services, you represent and warrant that you meet these requirements.

  2. Binding Agreement. These Terms constitute a legally binding agreement between you and Vidy under the laws of Singapore.

  3. Amendments. We may revise or update these Terms from time to time at our sole discretion. Where required by applicable law, we will use reasonable efforts to provide prior notice of any material changes. Unless otherwise stated, the updated Terms will become effective upon publication.

  4. Continued Use. Your continued access to or use of the Services following the effective date of any updated Terms constitutes your acceptance of such changes.

2. Nature of the Services

  1. The Services incorporate generative artificial intelligence technologies designed to produce content and simulate human-like interactions.

  2. You acknowledge and agree that:

    a. all outputs are generated algorithmically and do not originate from, nor are they intended to represent, any real individual, although they may simulate conversational, emotional, or role-based interactions;

    b. outputs may be non-unique, inaccurate, incomplete, misleading, or inappropriate;

    c. similar or identical outputs may be generated for other users;

    d. outputs may reflect patterns present in underlying data and do not necessarily reflect facts or reality; and

    e. the Services and any outputs do not constitute professional advice, including but not limited to legal, medical, financial, or other regulated advice.

  3. You are solely responsible for evaluating the accuracy, completeness, and suitability of any outputs and for any reliance placed on such outputs. Your use of the Services and any outputs is at your sole risk, and Vidy shall have no liability for any reliance placed on such outputs.

  4. To the fullest extent permitted by applicable law, Vidy makes no representations or warranties, whether express, implied, or statutory, regarding the Services or any outputs, including without limitation any warranties of accuracy, reliability, legality, non-infringement, or fitness for a particular purpose.

3. User Obligations

  1. Responsibility for Use. You acknowledge and agree that you are primarily responsible for your use of the Services. In particular, you shall be solely responsible for:

    a. all inputs, data, and content submitted to or processed through the Services, including ensuring that you have all necessary rights, consents, and lawful bases for such use;

    b. all outputs generated by the Services, including any interpretation, reliance, decision-making, or downstream use of such outputs; and

    c. ensuring that your access to and use of the Services complies at all times with applicable laws, regulations, and relevant industry standards.

  2. Prohibited Conduct. You shall not, and shall not permit any third party to, directly or indirectly:

    a. infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, or other rights of any person or entity;

    b. generate, upload, transmit, or otherwise make available any content that is unlawful or that a reasonable person would consider harmful, abusive, deceptive, defamatory, or otherwise objectionable;

    c. use the Services or any outputs, in whole or in part, to develop, train, fine-tune, benchmark, or otherwise improve any competing or substantially similar products, services, or models;

    d. reverse engineer, decompile, disassemble, extract, or otherwise attempt to derive the source code, underlying models, datasets, or algorithms of the Services, except to the extent such restriction is expressly prohibited by applicable law;

    e. bypass, disable, interfere with, or otherwise circumvent any technical, contractual, or security safeguards or usage limitations implemented by Vidy;

    f. use the Services in any manner that could reasonably be expected to damage, disrupt, overburden, or impair the integrity, performance, or availability of the Services; or

    g. use the Services for any purpose not expressly permitted under these Terms or in a manner inconsistent with the intended functionality of the Services.

  3. Accountability. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account. To the fullest extent permitted by applicable law, you shall be deemed responsible for all activities carried out under your account, whether or not authorized by you, unless such activities result directly from Vidy's failure to implement reasonable security measures.

  4. Monitoring and Enforcement.

    a. To the extent permitted by applicable law, Vidy does not assume any general obligation to monitor user inputs or outputs. However, nothing in these Terms shall limit Vidy's right to implement reasonable content review, moderation, or risk mitigation measures.

    b. Vidy reserves the right (but not the obligation) to investigate and take appropriate action in response to any suspected violation of these Terms, including suspending or terminating access to the Services.

4. Content and Intellectual Property

  1. User Content. As between you and Vidy, and to the extent permitted by applicable law, you retain any rights you may have in the content you submit to the Services and the outputs generated by the Services ("User Content"). You acknowledge that you are solely responsible for ensuring that you have all necessary rights, licences, and lawful bases to submit, use, and exploit such User Content and outputs.

  2. Licence to Vidy. You grant Vidy a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to host, store, reproduce, process, adapt, transmit, and otherwise use User Content solely as necessary to operate, provide, maintain, support, and improve the Services, including for troubleshooting, security, and service optimisation purposes. For the avoidance of doubt, Vidy does not use User Content to train or enhance its general artificial intelligence models, unless otherwise expressly agreed with you.

  3. No Responsibility for Content. To the fullest extent permitted by applicable law, Vidy does not control, endorse, verify, or assume any responsibility or liability for any User Content or outputs generated through the Services. You acknowledge that outputs are generated automatically based on user inputs and may be inaccurate, incomplete, or misleading. Any use of or reliance on User Content or outputs is at your sole risk. Nothing in these Terms shall be construed as imposing on Vidy any obligation to monitor, review, or validate User Content.

5. Fees and Subscription

  1. Certain features of the Services are available through paid subscriptions or one-time purchases. Subscription plans may include different membership tiers, such as VIP and SVIP, in addition to the free version. Applicable features, pricing, and benefits will be displayed within the Services.

  2. Subscription fees are charged in advance on a recurring monthly basis unless otherwise specified at the time of purchase. Your subscription will automatically renew on the corresponding date of each billing cycle unless you cancel before the renewal date. By purchasing a subscription, you authorize the applicable app store to charge the subscription fee using your selected payment method for each renewal period.

  3. If you subscribe through the Apple App Store or Google Play Store, all payments will be processed through the applicable platform's designated in-app payment system (including Apple's In-App Purchase system for iOS and Google Play Billing for Android). Your purchase is also subject to the applicable app store's terms, conditions, and payment policies.

  4. Subscriptions and automatic renewals are managed by the applicable app store. To avoid renewal, you must cancel your subscription through your Apple ID account settings or Google Play account settings before the next renewal date. Deleting the Services or your account does not automatically cancel your subscription. The applicable app store may process the renewal charge within 24 hours before the beginning of the next subscription period.

  5. Except as required by applicable law or the applicable app store's refund policy, subscription fees and one-time purchase fees are non-refundable. Refund requests for purchases made through the Apple App Store or Google Play Store are subject to the applicable app store's refund procedures and policies.

  6. We may modify subscription prices, introduce new subscription plans, or discontinue existing paid features from time to time. Any price changes will apply only to future subscription periods and, where required by applicable law or the applicable app store's policies, reasonable prior notice will be provided.

6. Disclaimer of Warranties

  1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ANY OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

  2. WITHOUT LIMITING THE FOREGOING, VIDY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING:

    a. MERCHANTABILITY;

    b. FITNESS FOR A PARTICULAR PURPOSE;

    c. NON-INFRINGEMENT; AND

    d. QUIET ENJOYMENT.

  3. VIDY DOES NOT WARRANT THAT:

    a. THE SERVICES OR OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE;

    b. THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;

    c. THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; OR

    d. ANY DEFECTS OR ERRORS WILL BE CORRECTED.

  4. YOU ACKNOWLEDGE THAT, DUE TO THE NATURE OF GENERATIVE ARTIFICIAL INTELLIGENCE, OUTPUTS MAY BE NON-UNIQUE, INACCURATE, INCOMPLETE, OR MISLEADING, AND MAY NOT REFLECT REAL PERSONS, FACTS, OR EVENTS.

  5. WHERE APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU, AND IN SUCH CASE, THE DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. VIDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

  2. VIDY SHALL HAVE NO LIABILITY FOR ANY USER CONTENT, OUTPUTS, OR ANY DECISIONS OR ACTIONS TAKEN BASED ON THE SERVICES.

  3. VIDY'S TOTAL LIABILITY, IF ANY, SHALL NOT EXCEED SGD 100.

  4. NOTHING IN THESE TERMS SHALL LIMIT LIABILITY TO THE EXTENT IT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

8. Indemnification

  1. You agree to defend, indemnify, and hold harmless Vidy and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

    a. your access to or use of the Services;

    b. your User Content;

    c. your breach of these Terms; or

    d. your violation of applicable law or any third-party rights.

  2. Vidy may, at its discretion, participate in the defense of any such claim. For the avoidance of doubt, Vidy does not assume any indemnification obligations except to the extent required by applicable law.

9. Suspension and Termination

  1. Vidy may, at its discretion and to the extent permitted by applicable law:

    a. suspend, restrict, or discontinue your access to all or any part of the Services;

    b. remove, disable, or limit access to any content; or

    c. suspend or terminate your account,

  2. Where Vidy reasonably determines that:

    a. you have breached these Terms or applicable law;

    b. your use of the Services may pose legal, security, or operational risks; or

    c. such action is necessary to protect the Services, other users, or third parties.

  3. Where appropriate, Vidy will use reasonable efforts to provide prior notice and, where feasible, an opportunity to remedy. However, immediate action may be taken without notice where necessary, including where required to comply with applicable law, mitigate security or legal risks, or protect the Services, users, or third parties. We will act in good faith and in a manner proportionate to the nature of the issue.

10. Third-Party Services

The Services may include integrations with, or links to, third-party services or content. Such third-party services are not controlled by Vidy and may be subject to their own terms and policies. To the fullest extent permitted by applicable law, Vidy does not endorse, and shall not be responsible or liable for, the availability, accuracy, content, or practices of any third-party services.

11. Miscellaneous

  1. Your use of the Services is also subject to the Vidy Privacy Policy, which is incorporated by reference into these Terms.

  2. These Terms constitute the entire agreement between you and Vidy regarding the Services and supersede any prior or contemporaneous agreements or understandings.

  3. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  4. You may not assign or transfer these Terms, in whole or in part, without our prior written consent.

  5. These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles.

  6. Any dispute arising out of or in connection with these Terms shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules in force at the time. The seat of arbitration shall be Singapore. The arbitration shall be conducted by one (1) arbitrator in the English language, and the arbitral award shall be final and binding on the parties.
